1. Acceptance of Terms
By accessing or using the services provided by Nortel Network Group, LLC (“Company,” “we,” “us”), you agree to be bound by these Terms of Service. If you do not agree, you may not use our services.
2. Service Description
Nortel Network Group provides AI-powered marketing, sales automation, and growth services delivered through our proprietary fleet of autonomous AI agents. Our services include but are not limited to: lead research, outbound engagement, strategy consultations, negotiation support, content generation, and client success management.
3. Autonomous Service Delivery
You acknowledge and agree that our services are delivered primarily through autonomous AI systems. This means:
- • Service interactions, recommendations, and deliverables are generated by artificial intelligence agents (NOVA, AXIOM, VANTA, HERALD, ATLAS)
- • AI agents operate 24/7 across all time zones without human supervision for routine operations
- • Strategic decisions, campaign optimizations, and client communications may be initiated and executed by AI without prior human review
- • Human oversight is available for escalated matters, account disputes, and situations requiring manual intervention upon request
4. AI Decision Transparency
We are committed to transparency in how our AI systems make decisions on your behalf:
- • Explainability: You may request an explanation of any AI-generated recommendation or action taken on your account
- • Audit trail: All significant AI decisions are logged and available for review upon request
- • Override rights: You retain the right to override, modify, or reject any AI-generated strategy or action before execution when advance approval is configured
- • Bias mitigation: Our AI models are regularly evaluated to identify and correct potential biases in targeting, messaging, or decision-making
5. Service Availability & Uptime
99.9%
Uptime Service Level Agreement
We guarantee 99.9% uptime for our core AI agent services, measured monthly. Scheduled maintenance windows are excluded and communicated at least 48 hours in advance. Service credits are available for downtime exceeding this threshold.
6. Payment Terms
Service fees are billed monthly in advance unless otherwise specified in your service agreement. Setup fees are one-time charges due at onboarding. All fees are non-refundable except as required by applicable law or as explicitly stated in your service agreement.
7. Intellectual Property
All AI models, algorithms, agent architectures, and proprietary methodologies (including TRIBE v2 neuroscience framework) remain the exclusive intellectual property of Nortel Network Group, LLC. Content generated for your campaigns becomes your property upon delivery and payment, unless otherwise specified.
8. Limitation of Liability
To the maximum extent permitted by law, Nortel Network Group, LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you for services in the twelve (12) months preceding the event giving rise to the claim.
9. Termination
Either party may terminate the service agreement with 30 days written notice. We reserve the right to suspend services immediately in cases of payment default, violation of these terms, or activities that may compromise the integrity of our AI systems or other clients' data.
10. Governing Law
These terms are governed by the laws of the State of California, United States. Any disputes shall be resolved in the courts located in Los Angeles County, California.
